Welcome to Edu Central! These Terms of Service ("Terms") govern your access to and use of the Edu Central web application (the "App"), which is provided by Edu Central LLC ("we," "us," or "our").
By accessing or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you may not access or use the App.
IMPORTANT: These Terms contain provisions that govern how disputes between you and Edu Central are resolved, including a binding arbitration clause and a waiver of class action rights. Please read these Terms carefully.
By creating an account, accessing, or using Edu Central, you affirm that you are at least 18 years of age and are legally capable of entering into this agreement. If you are accessing or using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
App or Edu Central App means the mobile application developed and owned by [APP OWNER/DEVELOPER NAME] for use by K-12 educators, teachers, students, and parents/guardians.
User or Users means all individuals who access and use the App.
Educator or Teacher means an individual employed or contracted by an educational institution to provide instruction and educational services to Students in grades K-12.
Personal Identifiable Information or PII means any information that can be used to identify, contact, or locate an individual, either alone or in combination with other information, as defined by relevant laws and regulations, such as the Family Educational Rights and Privacy Act (FERPA) in the United States.
Educational Records means records directly related to a Student and maintained by an educational institution or agency, as defined by FERPA.
Curriculum Materials means any instructional materials, lesson plans, assessments, or other educational resources created or organized using the App.
Intellectual Property Rights means all rights related to patents, trademarks, service marks, trade names, copyrights, trade secrets, and other intellectual property rights.
Third-Party Services means any external services, platforms, or applications integrated with or accessible through the App.
The definitions provided in this section shall apply throughout the entire Agreement unless otherwise specified.
The definitions related to Personal Identifiable Information (PII) and Educational Records shall be interpreted and applied in accordance with relevant laws and regulations, such as FERPA in the United States.
To use certain features of the App, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify Edu Central immediately of any unauthorized use of your password or account or any other breach of security. Edu Central cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
Each account is intended for use by a single individual educator. Sharing account credentials is prohibited.
"User Content" refers to all lesson plans, teaching units, materials, notes, assignments, documents, or other content that you create, upload, post, or transmit through the App.
You retain all ownership rights in your User Content. Edu Central claims no intellectual property rights over the User Content you provide to the App, provided such content complies with these Terms, including the prohibition on student Personally Identifiable Information (PII).
You grant Edu Central a limited, non-exclusive, worldwide, royalty-free, transferable, and revocable license to store, display, perform, reproduce, modify (for formatting or display purposes), and process your User Content solely for the purpose of operating, providing, improving, and developing the App's services and functionality. This license terminates when you delete your User Content from the App or close your account, subject to any legal retention obligations.
Edu Central is explicitly designed and intended not to collect, store, or process PII related to students, including but not limited to full names, addresses, phone numbers, email addresses, grades, student IDs, biometric data, or health information.
You are strictly prohibited from uploading, entering, or transmitting any student PII into the App. While users are solely responsible for ensuring that they do not upload any prohibited data, Edu Central acknowledges that it also carries obligations with respect to data privacy and security, including under FERPA, COPPA, and similar laws. Edu Central may provide guidance or in-App warnings to help users avoid inadvertently uploading student PII. If student PII is inadvertently uploaded, Edu Central will take commercially reasonable steps to delete such data from its active systems and backups as promptly as practicable, in accordance with applicable data protection laws.
Edu Central reserves the right to suspend or terminate accounts that violate this prohibition.
You agree not to upload, post, or transmit any User Content that:
You represent and warrant that you own or have the necessary rights to publish the User Content and that it does not infringe or violate any third party’s rights or applicable laws.
You agree to use the App lawfully and not to:
The App and its original content (excluding User Content), features, and functionality are the exclusive property of Edu Central and its licensors. The App is protected by copyright, trademark, and other laws. You may not use our trademarks without written permission.
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” EDU CENTRAL MAKES NO WARRANTIES ABOUT THE APP’S OPERATION, CONTENT, OR AVAILABILITY. YOUR USE IS AT YOUR OWN RISK.
We do not guarantee that the App will be uninterrupted, error-free, or free from harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDU CENTRAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APP, EVEN IF EDU CENTRAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT AS OTHERWISE REQUIRED BY LAW, EDU CENTRAL’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED (A) THE AMOUNT YOU PAID, IF ANY, TO EDU CENTRAL FOR THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR:
You agree to indemnify and hold harmless Edu Central and its affiliates from any claims or damages arising out of:
You may terminate your account anytime by contacting us via email at support@educentral.app or via your profile settings.
We may suspend or terminate your account for violations of these Terms.
Upon termination, your access ceases immediately. Provisions that should survive termination will continue in effect.
These Terms are governed by the laws of New Jersey, without regard to its conflict of law rules.
Disputes shall be resolved by binding arbitration through the American Arbitration Association (AAA), except small claims.
All proceedings must be on an individual basis—no class actions.
We may update these Terms at our discretion. Material changes will be announced 30 days in advance. Continued use after changes take effect means you accept the new Terms.
